Interpretation

By accessing the website, creating an account, clicking an acceptance checkbox, starting a trial, purchasing a subscription, using AI tools, creating a QR page, uploading content, or otherwise using the Service, you agree to be bound by these Terms and by the Privacy Policy and any policies referenced in these Terms. If you do not agree, you must not access or use the Service.
If you use the Service on behalf of a company, brand, seller, manufacturer, agency, or other organization, you represent that you have authority to bind that organization. In that case, “you” and “Customer” refer to that organization and the individual acting on its behalf.
2. Definitions
- “Account” means the account created to access the Service.
- “AI Tokens” or “Tokens” means digital service credits used to access AI functions, AI manual generation, AI content assistance, AI support, translation, automation, or other metered digital features.
- “Annual Subscription” means a prepaid subscription for a one-year subscription term.
- “Company,” “we,” “us,” or “our” means Global Kingdom International Company Limited, the operator of MyQRGuide.
- “Customer Content” means text, images, videos, manuals, product data, warranty data, support tickets, brand content, QR page content, files, prompts, questions, instructions, and other materials uploaded, submitted, generated, or managed by you or your users through the Service.
- “End User” means a person who scans a QR code, views a product mini-site, registers a warranty, joins a club, submits a support ticket, asks an AI assistant a question, or otherwise interacts with a Customer’s QR page or content.
- “Platform” means the MyQRGuide software, dashboard, AI tools, QR mini-site builder, warranty tools, support tools, analytics, integrations, APIs, and related infrastructure.
- “Subscription Term” means the prepaid annual period for which the Customer purchased access.
- “Website” means https://myqrguide.com and related MyQRGuide web properties.
3. Business Use and Eligibility
MyQRGuide is intended primarily for business and commercial users, including brands, private-label sellers, manufacturers, distributors, agencies, service providers, and organizations that use QR-based customer experience tools.
You must be at least 18 years old to use the Service. If you use the Service for a business or organization, you confirm that your purchase and use are for business or commercial purposes, unless applicable law clearly provides otherwise.
You are responsible for ensuring that your use of the Service, Customer Content, product claims, warranty offers, marketing communications, and End User interactions comply with all laws, regulations, marketplace rules, advertising rules, product-safety rules, and privacy requirements applicable to your business
4. Account Registration and Security
You must provide accurate, complete, and current information when creating an Account and must keep such information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account.
You must immediately notify us of any unauthorized access, security incident, or suspected misuse of your Account. We are not responsible for losses caused by your failure to secure your Account, devices, users, passwords, or third-party integrations.
We may suspend or restrict access if we reasonably believe that an Account has been compromised, used fraudulently, used in violation of these Terms, or used in a way that may harm the Platform, End Users, third parties, or our business.
5. Annual Subscription Model Only
MyQRGuide is sold exclusively as an annual subscription service. MyQRGuide does not offer month-to-month subscriptions.
Any monthly amount displayed on pricing pages, marketing pages, advertisements, checkout pages, or plan comparison pages is shown only as an equivalent monthly cost for comparison and presentation purposes. It does not create a monthly subscription, monthly billing arrangement, or right to pay month by month.
When a Customer purchases a plan, the Customer is charged one annual payment in advance for the full annual Subscription Term. The checkout page and invoice may show the plan name, annual price, taxes if applicable, and any displayed equivalent monthly amount, but the legal and billing commitment is annual.
6. Subscription Plans, Plan Limits, and Feature Changes
Each plan may include different feature limits, usage limits, AI Token allocations, number of QR pages, product mini-sites, team members, warranty registrations, analytics, integrations, AI assistants, support levels, storage limits, or other usage entitlements.
We may update, improve, replace, remove, or modify features from time to time. We will use reasonable efforts not to materially reduce core paid functionality during an active Subscription Term, but we may make changes required for security, compliance, third-party provider changes, technical stability, or product improvement.
Plan limits are not guarantees of unlimited availability. Use may be subject to fair-use, security, storage, AI-provider, anti-abuse, and infrastructure limitations.
7. Billing, Payment, Taxes, and Renewal
Subscription fees are billed in advance for the full annual Subscription Term. By completing a purchase, you authorize us and our payment processors to charge the selected payment method for the full annual amount, including applicable taxes, fees, or currency conversion charges where applicable.
Unless renewal is disabled before the renewal date, your subscription may renew automatically for another annual term at the then-current price or the price displayed during the renewal process. If your payment fails, we may retry the charge, request updated payment information, suspend access, downgrade access, or terminate the subscription.
You are responsible for all taxes, duties, levies, withholding taxes, VAT, GST, sales tax, or other governmental charges related to your purchase, except taxes based on our net income. If tax exemptions apply, you must provide valid documentation before purchase or renewal where legally required.
8. Subscription Activation and Service Delivery
A subscription is considered activated and the Service is considered delivered when payment is accepted and access to the Platform or any subscription feature is made available.
Evidence of activation or delivery may include, without limitation: Account creation, dashboard access, login activity, allocation of AI Tokens, use of AI tools, upload of content, creation or editing of QR pages, generation of QR codes, creation of product mini-sites, use of warranty tools, support-ticket activity, communication with support, onboarding communication, team-member invitations, configuration of integrations, or any other Platform activity.
You acknowledge that the Service is a digital SaaS product delivered electronically and that access begins immediately after purchase unless otherwise stated in writing.
9. Cancellation Policy
You may request cancellation of automatic renewal at any time through the available account settings or by contacting support. Cancellation stops future annual renewal only.
Cancellation does not terminate the active annual Subscription Term, does not remove the Customer’s access to the Service for the remainder of the prepaid term, and does not entitle the Customer to a full, partial, prorated, or unused-period refund.
If automatic renewal is disabled, the Account may remain active until the end of the prepaid annual Subscription Term. After the term ends, access may be suspended, downgraded, deleted, archived, or limited according to our data retention practices and the Privacy Policy.
10. Refund Policy
Because MyQRGuide is a digital SaaS platform that provides immediate access to proprietary software, cloud infrastructure, AI services, support resources, QR tools, and digital features, annual subscription payments are generally final and non-refundable after activation, except where required by applicable law.
A full refund may be requested within 24 hours of the initial subscription purchase only if the Platform has not been accessed or used in any way. For purposes of this policy, “use” includes but is not limited to logging in, accessing the dashboard, creating or editing product pages, generating QR codes, using AI tools, consuming or allocating AI Tokens, uploading content, inviting users, accessing support, or interacting with any feature of the Service.
Once the Platform has been accessed or used in any way, the Service is considered delivered and the Customer is not eligible for a refund, even if the request is made within the 24-hour period. After 24 hours from the time of purchase, all subscription payments are considered final and non-refundable, except where mandatory law requires otherwise.
Refund requests based on lack of usage, change of mind, dissatisfaction, failure to complete onboarding, failure to achieve expected business results, failure to use available features, internal Customer delays, or misunderstanding of the annual billing model do not qualify for a refund.
If we voluntarily issue a refund, credit, discount, or goodwill compensation in a particular case, that action is discretionary and does not create an obligation to provide the same outcome in any other case.
11. AI Tokens, Digital Credits, and Bonus Credits
AI Tokens and any other digital credits are service credits used inside the Platform. Tokens may be included in an annual plan, purchased separately, granted as a promotion, granted as goodwill, or provided as part of onboarding or support.
Tokens are delivered when they are made available in the Account. Token purchases are final and non-refundable, whether used or unused, except where mandatory law requires otherwise. Consumed Tokens cannot be restored, refunded, exchanged, or converted into cash.
Complimentary, promotional, bonus, or goodwill Tokens have no cash value, are not transferable, and do not modify the subscription agreement, refund policy, plan limits, renewal terms, or any other legal obligation.
12. AI Features and AI-Generated Content
MyQRGuide may provide AI-assisted features such as manual generation, product-content assistance, translation, support assistance, customer-question handling, search, summarization, recommendations, and other automation tools.
AI-generated content may be inaccurate, incomplete, outdated, unsuitable, or inappropriate for a particular product, market, language, jurisdiction, or use case. You are responsible for reviewing, approving, correcting, and validating all AI-generated output before publishing it, using it commercially, providing it to End Users, or relying on it for product instructions, safety information, legal statements, warranty terms, marketing, compliance, or customer support.
You must not use AI features to generate unlawful, misleading, infringing, dangerous, discriminatory, defamatory, deceptive, harmful, or regulated content. You remain responsible for all Customer Content and AI-assisted output published through your Account.
AI features may depend on third-party AI providers, cloud providers, APIs, rate limits, regional availability, or model changes. We may change AI providers, models, prompts, limits, token consumption rates, and AI features at any time for performance, compliance, cost, safety, or product reasons.
13. Customer Content and Ownership
You retain ownership of Customer Content that you submit, upload, or create through the Service, subject to the rights granted in these Terms.
You grant MyQRGuide a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, process, reproduce, display, transmit, translate, modify, format, and use Customer Content solely as necessary to provide, secure, maintain, improve, and support the Service, including displaying QR pages to End Users, generating manuals, processing warranty registrations, responding to support tickets, operating AI tools, and enabling integrations you choose to use.
You represent and warrant that you have all rights, licenses, permissions, consents, and legal bases required to upload, process, publish, and use Customer Content through the Service. You are solely responsible for the legality, accuracy, safety, reliability, completeness, and appropriateness of Customer Content.
14. Product Information, Manuals, Warranties, and Customer Communications
MyQRGuide provides tools for creating product pages, QR mini-sites, digital manuals, warranty registrations, product support experiences, clubs, coupons, campaigns, and customer communications. MyQRGuide is a technology platform and does not independently verify your product claims, manuals, safety instructions, warranty obligations, regulatory compliance, advertising claims, or customer communications.
You are solely responsible for ensuring that all product instructions, warnings, certifications, translations, warranty terms, refund terms, contact details, marketing messages, and support answers are accurate, lawful, and appropriate for the countries where your products are sold or used.
You must not use the Service to mislead End Users, hide required product-safety information, make false claims, avoid legal warranty obligations, or send unlawful marketing communications. If you collect End User data through MyQRGuide tools, you are responsible for providing required notices, consents, opt-out mechanisms, and legal bases under applicable privacy and marketing laws.
15. End User Data and Customer Responsibilities
Depending on how you configure the Service, End Users may submit warranty registrations, names, emails, phone numbers, purchase details, support questions, product issues, messages, images, or other data.
As between you and MyQRGuide, you are responsible for determining what data you collect from End Users, why you collect it, how long you keep it, how you use it, and what notices or consents are required. MyQRGuide processes such data to provide the Service and as described in the Privacy Policy and applicable data-processing terms.
You must not collect sensitive personal data, children’s data, payment-card data, health data, biometric data, government ID data, or other regulated data through the Service unless you have a lawful basis, required notices and consents, and our written approval where required by the Platform’s policies.
16. Content Restrictions and Acceptable Use
You may not upload, publish, transmit, generate, or distribute Customer Content, or use the Service, in any way that: (a) violates law; (b) infringes intellectual property, privacy, publicity, or contractual rights; (c) is defamatory, fraudulent, deceptive, threatening, abusive, obscene, discriminatory, hateful, or harmful; (d) includes malware, viruses, harmful code, scraping tools, or security attacks; (e) impersonates any person or organization; (f) sends spam or unlawful marketing; (g) promotes illegal goods or services; (h) interferes with the Platform or other users; (i) attempts unauthorized access; (j) reverse engineers, copies, or competes with the Platform using non-public information; or (k) violates marketplace, advertising, consumer-protection, product-safety, or data-protection rules.
We may remove, restrict, disable, or refuse Customer Content that we reasonably believe violates these Terms, applicable law, third-party rights, platform integrity, or the safety of End Users. We have no obligation to monitor all Customer Content but reserve the right to do so.
17. Backups, Data Loss, and Customer Copies
We may perform backups and use commercially reasonable measures to protect data, but we do not guarantee that Customer Content will never be lost, corrupted, deleted, unavailable, or unrecoverable.
You are responsible for maintaining independent copies of important content, manuals, warranty data, customer records, images, videos, product data, and legal documents.
We are not liable for data loss, corruption, or failure to restore data except to the extent liability cannot be excluded under applicable law.
18. Third-Party Services, Integrations, and Marketplace References
The Service may integrate with or reference third-party platforms, services, AI providers, cloud providers, payment processors, analytics tools, email tools, messaging services, e-commerce platforms, marketplaces, or APIs. Your use of third-party services may be subject to their own terms, fees, limits, policies, and privacy practices.
MyQRGuide may connect with or provide compatibility references to leading global platforms and services, including but not limited to Amazon, Walmart, Google, Meta, Shopify, OpenAI, and others. All trademarks, service marks, logos, and platform names are the property of their respective owners. Use of these names does not imply affiliation, sponsorship, or endorsement unless expressly stated in writing.
We are not responsible for third-party services, outages, API changes, policy changes, account suspensions, data loss, payment failures, AI model behavior, marketplace enforcement, or other acts or omissions of third parties.
19. MyQRGuide Intellectual Property
The Service, software, source code, designs, templates, workflows, AI configurations, prompts, QR technology, user interface, branding, logos, documentation, business processes, analytics, know-how, and all related intellectual property are owned by or licensed to MyQRGuide and are protected by intellectual-property and other laws.
Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the active Subscription Term for your internal business purposes.
You must not copy, sell, rent, sublicense, distribute, reverse engineer, decompile, scrape, modify, create derivative works from, or use the Service to build a competing product, except as expressly permitted by law and these Terms.
20. Feedback
If you provide feedback, suggestions, ideas, feature requests, improvements, or recommendations, you grant MyQRGuide a perpetual, worldwide, irrevocable, royalty-free right to use, modify, commercialize, and incorporate such feedback into the Service without restriction, attribution, or compensation to you.
21. Support, Onboarding, and Professional Assistance
We may provide support, onboarding, training, guidance, troubleshooting, or implementation assistance depending on your plan, availability, and our internal policies. Support and onboarding are intended to assist the Customer but do not guarantee a specific business result, implementation result, marketplace result, sales result, SEO result, customer-service result, or regulatory outcome.
Failure by the Customer to attend onboarding, provide requested information, use available support, complete setup, review AI output, configure QR pages, upload content, or cooperate with reasonable implementation steps does not create a refund right.
Any free assistance, additional support, complimentary credits, bonus Tokens, or goodwill gestures are voluntary and do not waive or modify these Terms.
22. Service Availability, Maintenance, and Security
We aim to provide a reliable Service but do not guarantee uninterrupted, error-free, or always-available access. The Service may be unavailable due to maintenance, updates, security patches, outages, third-party failures, hosting issues, AI-provider issues, payment-provider issues, force majeure, internet disruptions, or events beyond our control.
We may make changes to improve security, performance, compliance, reliability, and functionality. We may suspend access if necessary to protect the Platform, comply with law, prevent abuse, investigate suspicious activity, or reduce risk to End Users, Customers, or third parties.
23. Audit Logs, Evidence of Acceptance, and Payment Disputes
To operate the Service, prevent abuse, support Customers, enforce these Terms, and respond to payment disputes, we may retain account, billing, acceptance, usage, and audit records. These may include accepted Terms version, acceptance timestamp, IP address, user ID, device or browser data, checkout records, invoices, login history, AI Token allocation and consumption, QR page activity, upload activity, support communications, onboarding communications, plan changes, cancellation requests, and renewal settings.
If you initiate a payment dispute, chargeback, complaint, or similar process after receiving access to the Service, you authorize us to provide relevant records to payment processors, banks, card issuers, dispute-resolution providers, legal advisors, regulators, or other appropriate parties as needed to demonstrate purchase authorization, Terms acceptance, Service delivery, account activity, support efforts, AI Token usage, cancellation status, and our response to your claims.
Abusive, false, fraudulent, or bad-faith disputes may result in suspension or termination of access, collection efforts, refusal of future service, or other remedies available under law.
24. Confidentiality
Each party may receive non-public business, technical, product, pricing, security, or commercial information from the other party. The receiving party must use reasonable care to protect such confidential information and may use it only for purposes related to the Service.
Confidential information does not include information that is public, independently developed, rightfully received from a third party without confidentiality obligations, or required to be disclosed by law. If disclosure is legally required, the receiving party should provide notice where legally permitted.
25. Privacy and Data Protection
Your use of the Service is subject to the Privacy Policy. The Privacy Policy explains how personal data is collected, used, stored, disclosed, transferred, and protected.
If you use the Service to collect or process End User personal data, you are responsible for complying with applicable privacy, marketing, consumer-protection, and data-protection laws, including providing notices, obtaining consents, responding to rights requests, and using data lawfully.
Where required, a separate Data Processing Addendum may apply for business Customers who process personal data subject to GDPR, UK GDPR, or similar laws.
26. Warranty Disclaimer
The Service is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, security, compatibility, and error-free operation.
We do not warrant that the Service, AI output, templates, translations, manuals, support answers, QR pages, integrations, analytics, or recommendations will meet your requirements, achieve business results, comply with laws in every jurisdiction, be accepted by marketplaces, increase sales, reduce returns, or be free from errors.
27. Limitation of Liability
To the maximum extent permitted by applicable law, MyQRGuide, Global Kingdom International Company Limited, and its affiliates, directors, officers, employees, contractors, licensors, service providers, agents, and representatives shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages, including but not limited to loss of revenue, loss of business opportunities, loss of goodwill, loss of data, business interruption, replacement service costs, customer claims, marketplace actions, regulatory actions, or product liability claims arising out of or relating to the Service, the Platform, AI features, QR pages, integrations, Customer Content, or these Terms, regardless of whether such damages are based on contract, tort (including negligence), strict liability, or any other legal theory, and even if MyQRGuide has been advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total aggregate liability of MyQRGuide, Global Kingdom International Company Limited, and its affiliates, directors, officers, employees, contractors, licensors, and service providers for all claims arising out of or relating to the Service or these Terms shall not exceed the total amount actually paid by the Customer to MyQRGuide for the applicable Service during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other statutory rights or liabilities that cannot legally be limited or excluded.
28. Indemnification
You agree to defend, indemnify, and hold harmless MyQRGuide, Global Kingdom International Company Limited, affiliates, directors, officers, employees, contractors, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from or related to: (a) your use of the Service; (b) Customer Content; (c) products, manuals, warranties, marketing, or support you provide through the Service; (d) End User claims; (e) your violation of law or third-party rights; (f) your breach of these Terms; (g) your misuse of AI features; or (h) your failure to obtain required consents or rights.
29. Suspension and Termination
We may suspend, restrict, or terminate access immediately if we reasonably believe that you have violated these Terms, failed to pay fees, created legal risk, misused the Service, infringed third-party rights, compromised security, initiated abusive disputes, used the Service unlawfully, or caused harm to the Platform, End Users, other Customers, or third parties.
Upon termination, your right to access the Service ceases. We may delete, archive, export, or retain Customer Content according to our data-retention practices, legal obligations, backup systems, and Privacy Policy. Termination does not relieve you of payment obligations incurred before termination and does not create a refund right unless required by law.
30. Consumer Rights, EU Users, and Mandatory Law
MyQRGuide is primarily a B2B SaaS platform. However, if you are legally considered a consumer in a jurisdiction where mandatory consumer rights apply, you will benefit from any rights that cannot be waived by contract.
If you are an EU consumer, you may benefit from mandatory provisions of the law of the country in which you are resident. Nothing in these Terms is intended to exclude rights that cannot be excluded under applicable law.
For digital services that begin immediately after purchase, you acknowledge that access begins immediately upon payment and that use of the Platform may affect cancellation or refund rights to the extent permitted by law.
31. Export Control, Sanctions, and Restricted Parties
You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or territory subject to applicable sanctions or embargoes that prohibit your use of the Service, and that you are not listed on any applicable restricted-party, denied-party, or sanctions list.
You must not use the Service for unlawful export-controlled, sanctioned, prohibited, or restricted purposes.
32. Links, Hyperlinking, and Website References
You may link to publicly available pages of our Website in a fair and lawful manner that does not damage our reputation, imply false affiliation, mislead users, frame the Website without permission, or violate these Terms.
We reserve the right to request removal of any link to our Website. You may not use our logos, trademarks, or branding for linking, advertising, or promotion without written permission.
33. Changes to the Service and Terms

Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect intellectual property, confidential information, security, data, or platform integrity.
35. Governing Law and Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Service, the Website, the Platform, subscriptions, payments, AI Tokens, Customer Content, or any related transaction shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (Hong Kong SAR), without regard to its conflict of law principles.
Subject to any mandatory laws that cannot be waived, the courts of Hong Kong SAR shall have exclusive jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms or the Service, and each party irrevocably submits to the exclusive jurisdiction of those courts.
Where permitted by applicable law, MyQRGuide may, at its sole discretion, elect to resolve any dispute through confidential arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its applicable rules. The seat of arbitration shall be Hong Kong, the language of the arbitration shall be English, and the arbitral award shall be final and binding upon the parties, subject only to any rights of appeal or review available under applicable law.
Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief from a court of competent jurisdiction where such relief is necessary to protect intellectual property rights, confidential information, security, or other legal rights pending the final resolution of a dispute.
36. Language
These Terms are drafted in English. If these Terms are translated into another language, the English version will control to the maximum extent permitted by law in the event of any conflict, inconsistency, or ambiguity.
37. Severability and Waiver
If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be interpreted or modified to achieve its original purpose to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. A waiver must be in writing and signed by the party granting the waiver.
